Terms of Service

1. Acceptance of these terms

By accessing or using Fairwai, you agree to these Terms of Service. If you are using the service on behalf of an organization, you represent that you have authority to bind that organization.

2. The service

Fairwai is an AI-native operations platform for golf course operators. It includes a voice agent, inbox assistant, review management, marketing automation, and analytics. The service evolves over time — features may be added, changed, or removed.

3. Accounts

You are responsible for your account credentials and for all activity that occurs under your account. You must notify us promptly if you suspect unauthorized use. We may suspend accounts where we suspect abuse.

4. Acceptable use

You agree not to use the service to:

• violate any law or regulation;
• harass, abuse, or harm another person;
• reverse engineer, scrape, or circumvent rate limits of the service;
• send spam, including to golfers who have not consented to receive communications;
• violate the terms of any third-party service Fairwai integrates with, including Google, Twilio, and Anthropic.

5. Customer data

You retain ownership of all data you provide to, or connect with, the service — including Gmail content, course records, call recordings, and customer lists.

You grant Fairwai a limited, worldwide, non-exclusive, royalty-free license to process this data for the sole purpose of providing the service to you.

You represent and warrant that you have all rights and consents necessary for Fairwai to process this data on your behalf, including any required notices to end customers (for example, golfers) under applicable laws relating to communications, recordings, and personal data.

6. Third-party services

The service integrates with third parties including Google (Gmail, Gemini), Anthropic, and Twilio. Your use of those services is governed by their own terms of service. Fairwai is not responsible for outages, changes, or liabilities arising from third-party services.

7. AI output disclaimer

Content generated by the service's AI features — including email drafts, voice responses, summaries, and recommendations — may be inaccurate, incomplete, or inappropriate. You are responsible for reviewing AI output before it is sent to or acted on by end customers. Fairwai is not liable for errors, omissions, or unintended actions produced by AI output.

8. Fees

Licensing is handled on a per-agreement basis. Fees, payment terms, and included volumes are as separately agreed in writing between Fairwai and the customer. There is no self-serve billing system at this time.

9. Termination

Either party may terminate the agreement with written notice in accordance with separately agreed terms. On termination, customer data will be deleted in accordance with the Privacy Policy, except where retention is required by law.

Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, and governing law — will survive.

10. Warranties and disclaimers

The service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Fairwai disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement. Fairwai does not warrant that the service will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, Fairwai's total liability in connection with the service is capped at the fees paid by the customer to Fairwai in the twelve (12) months preceding the event giving rise to the claim, or ₹10,000 INR if no fees have been paid.

Fairwai is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunities.

12. Indemnification

You will indemnify and hold Fairwai harmless from any third-party claims arising from your misuse of the service, your violation of these terms, or your violation of applicable law or third-party rights.

13. Governing law and dispute resolution

These terms are governed by the laws of India, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these terms or the service will be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India.

14. Changes to these terms

We may update these terms from time to time. Changes will be posted here and the effective date updated. Continued use of the service after changes take effect constitutes acceptance. Material changes will be communicated to account holders by email at least 30 days before they take effect.
